Governance
ESG is fully integrated throughout the business and sits at the heart of all strategic decision making.
An effective governance framework is central to the successful implementation of our strategy and the achievement of our objectives.
Our ESG strategy is embedded into our leadership performance. We maintain a dedicated ESG Committee and our Chief Sustainability Officer oversees delivery and governance.
We align our impact with the UN Sustainable Development Goals, particularly Goals:
- 7 - Affordable and Clean Energy
- 11 - Sustainable Cities and Communities
- 12 - Responsible Consumptions and Production
The Board

- Ownership and responsibility for ESG risks, opportunities and mitigation actions.
- Oversight and responsibility for achievement against our ESG goals.
- Oversight and responsibility for engagement with key stakeholders including investors, customers, employees, suppliers and local communities on ESG issues.
- Receives regular briefings on ESG and sustainability developments within our sector and more broadly.
- Meets four times annually.
- Consists of Directors of Planets Topco Limited, the Directors of Viridor Limited, external senior advisors and Viridor Group senior management.
ESG Committee

- Established in September 2020 o support the Board with the strategic and operational aspects around ESG with a particular focus on climate change and SHEQS.
- Meets one month prior to the board meeting.
- Duties include reviewing strategies, policies, management, initiatives and targets; monitoring performance and assisting the Board to enable effective execution of its objectives towards ESG matters.
- The ESG Committee consists of Directors, external advisors and senior management.
- The ESG Committee are given quarterly updates on progress against key ESG KPIs by the Chief Sustainability Officer and this committee, like the Board, also have oversight and responsibility for the achievement of these goals.
Corporate Leadership Team

- Responsible for managing and implementing the Board's ESG Strategy.
- Give management the tools required to identify, assess and manage the risks and opportunities prevalent in their respective divisions.
Senior Leadership Team and Programme Boards

- Divisional leadership teams report to the Viridor Group leadership team which in turn reports to the Board.
- The Leadership Teams and responsible for assessing and sustainability risks and opportunities on a site-by-site level.
- Where necessary when an ESG opportunity materialises a Programme Board will be created to support management decision making and provide both challenge and approval on issues affecting the progress of the Programme.
- Climate Programme Boards include oversight on Emissions Trading Scheme (ETS) policy development and business implementation, Carbon Capture and Storage (CCS) and ESG.
Business Units and Corporate Functions (ESG, SHEQS, Human Resources)

- Own the emerging risks so will be horizon scanning for the risk of legislative or policy changes that could impact our business.
- The Group Chief Sustainability Officer and divisional ESG team hold presence on the ESG Committee and are responsible for creating our annual, independently verified ESG report.
- Report on delivery against commitments set in our ESG strategy including decarbonisation and developing the circular economy.
- SHEQS teams are responsible for environmental compliance and responding to any legislative changes that may affect our business. The team is also responsible for day-to-day compliance.
- Manage the safety of our people against ESG risk and set policies in place to protect them.
